3. Service Agreement and Pricing
3.1 Service Packages
We offer customized service packages based on your business needs. Specific features, pricing, and terms will be outlined in a separate Service Agreement or Statement of Work (SOW).
3.2 Payment Terms
- Payment terms will be specified in your Service Agreement
- Fees are typically charged on a monthly or annual subscription basis
- Setup fees may apply for initial configuration
- Late payments may incur additional charges as specified in the agreement
- All fees are exclusive of applicable taxes unless stated otherwise

Refunds are handled on a case-by-case basis. Setup fees are generally non-refundable after work has commenced. Monthly subscription fees may be prorated in certain circumstances as per the Service Agreement.
4. Client Responsibilities
As a client, you agree to:

- Not use the Services for illegal or unauthorized purposes

5. Intellectual Property Rights

All intellectual property rights in the TeleAI Indic platform, technology, software, and Services remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your agreement.
5.2 Your Content
You retain all rights to the content you provide. By using our Services, you grant us a limited license to use, process, and store your content solely to provide the Services. We will not use your proprietary business information for purposes other than service delivery without your consent.
5.3 AI Training Data
Conversation data may be used in anonymized and aggregated form to improve our AI models. No personally identifiable or business-sensitive information will be used without proper anonymization.
6. Service Level and Uptime
While we strive to maintain high availability, we do not guarantee uninterrupted service. Specific Service Level Agreements (SLAs) may be provided in your Service Agreement, including:
- Target uptime percentages
- Response times for support requests
- Maintenance windows
- Remedies for service interruptions
7. Data Privacy and Security
We take data privacy and security seriously. Our data handling practices are detailed in our Privacy Policy. Key points include:
- Encryption of data in transit and at rest
- Compliance with applicable data protection laws

8. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not responsible for third-party services or platforms (WhatsApp, telephony providers, etc.)
- We do not guarantee specific business outcomes or results from using our Services
9. Warranties and Disclaimers
9.1 Service Warranty
We warrant that our Services will be performed in a professional manner consistent with industry standards.
9.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Term and Termination
10.1 Service Term
The term of service will be specified in your Service Agreement, typically on a monthly or annual basis with automatic renewal unless cancelled.
10.2 Termination by Client
You may terminate the Services by providing written notice as specified in your Service Agreement (typically 30 days).
10.3 Termination by Us
We may terminate or suspend your access if you breach these Terms, fail to pay fees, or use the Services inappropriately.
10.4 Effect of Termination
- Access to the Services will cease
- Outstanding fees remain payable
- We will provide data export options as per the agreement
- Confidentiality obligations survive termination
11. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the business relationship. This includes:
- Business strategies and operations
- Customer data and conversations
- Technical specifications and configurations
- Pricing and commercial terms
12. Indemnification
You agree to indemnify and hold harmless TeleAI Indic from any claims, damages, or expenses arising from:
- Your use of the Services
- Violation of these Terms
- Infringement of third-party rights
- Content you provide to the Services
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Services. Continued use after modifications constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
14.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. We encourage informal resolution before pursuing formal legal action.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with your Service Agreement and Privacy Policy, constitute the entire agreement between you and TeleAI Indic.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
15.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
15.4 Assignment
You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
